On May 7, 2012, pursuant to an underwriting agreement dated May 1, 2012 with Jefferies & Company, Inc. as underwriter (the "Underwriter"), Wadhwani Partners No. 1 LP sold 112,500 shares of the Company's common stock to the Underwriter at a per share price of $18.01 (before expenses), pursuant to the Underwriter's exercise of the over-allotment option. The reporting person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein.
