On May 1, 2012, pursuant to an underwriting agreement dated May 1, 2012, among iGATE Corporation (the "Company"), the selling shareholders named therein (the "Selling Shareholders") and Jefferies & Company, Inc. as underwriter (the "Underwriter"), the reporting person and the trust described in footnote 2 below each sold 375,000 shares of the Company's common stock to the Underwriter at a per share price of $18.01 (before expenses).
These shares are owned directly by The Trivedi Family Qualified Subchapter S Trust. The reporting person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein.
