On May 1, 2012, pursuant to an underwriting agreement dated May 1, 2012, among iGATE Corporation (the "Company"), the selling shareholders named therein (the "Selling Shareholders") and Jefferies & Company, Inc. as underwriter (the "Underwriter"), the reporting person sold 350,000 shares of the Company's common stock and the partnership described in footnote 2 below sold 400,000 shares of Company's common stock to the Underwriter at a per share price of $18.01 (before expenses).
These shares are owned directly by Wadhwani Partners No. 1 LP. The reporting person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein.
