These shares were granted in the forms of Restricted Stock Unit (RSU's). Each RSU represents a contingent right to receive one share of Rackspace Hosting, Inc. common stock. 1/4 of these shares under the RSU grant shall vest and be delivered promptly after each anniversary of the grant date of February 15, 2012.
1/4 of the options vest annually beginning on the grant date of February 15, 2012.
These shares were sold pursuant to provisions contained in the Company's Form of RSU Agreement and Amended and Restated 2007 Long Term Incentive Plan for the satisfaction of certain tax obligations.
