As previously disclosed in the Issuer's public filings, in connection with a Stock Purchase Agreement, dated June 27, 2011 and an Amendment No. 1 to the Stock Purchase Agreement, dated November 1, 2011, the Issuer sold 13,988 shares to the Reporting Person in exchange for the cancellation of the Issuer's Series C Preferred Stock owned by the Reporting Person and in consideration for the Reporting Person's investment into the Issuer.
