As of January 11, 2012, NeoMagic Corporation entered into a Stock Purchase Agreement (SPA) with investors, including Bluestone Financial Ltd (Bluestone). On February 1, 2012 a Subsequent Closing of the SPA occurred wherein Bluestone acquired an additional 2,000,000 shares. Pursuant to Rule 13d-3 promulgated under the Securities Exchange Act of 1934, Mr. Tomasello is deemed to be the beneficial owner of the Common Stock purchased by Bluestone.
The shares of Common Stock are held in the name of Bluestone Financial Ltd., of which Mr. Tomasello disclaims beneficial ownership of the shares except to the extent of his pecuniary interest therein.
