- The Reporting Person has entered into a purchase agreement with the Issuer to purchase 1,500,000 shares of common stock bearing restrictive legend under SEC Rule 144 at the offering price of $0.10 per share. Per the contract terms, the Reporting Person has paid $50,000 for the initial 500,000 share purchase. The balance of $100,000 to purchase the remaining 1,000,000 shares is due mid-February. A separate report will be filed in connection with that payment and purchase.
