Time Poly Management, Ltd., a British Virgins Islands company ("Time Poly"), owns 8,392,284 shares of Tianyin Pharmaceutical Co, Inc.'s ("the Company") voting stock. Pursuant to a Share Transfer Agreement dated January 16, 2008 and oral agreement by and among the shareholders of Time Poly, Dr. Guoqing Jiang received certain Time Poly's equity, and therefore indirectly owns 84.46% of the shares of the Company's common stock that Time Poly owns - or 7,087,604 shares. On July 15, 2010, the Company issued 228,180 shares of its common stock to Dr. Jiang as incentive compensation.
On November 22, 2011, Dr. Jiang purchased 15,000 shares of the Company's common stock on the open market at an average price of $0.76/share.
