Consists of a grant of restricted share units awarded to the Reporting Person under the Seagate Technology plc 2012 Equity Incentive Plan for no consideration. Each restricted share unit represents a contingent right to receive one ordinary share of the company. Subject to the Reporting Person's continuous service with the company, shares will be released to the Reporting Person on the earlier of (i) one year from the date of grant and (ii) one day prior to the next annual general meeting of the shareholders following the end of fiscal year 2012.
