Each Unit is comprised of one share of common stock and one-half of one warrant, with each full warrant exercisable at a price of $0.10 per share for 12 months. Mr. Relph is the President of Buckingham Securities Limited but disclaims beneficial ownership of the securities held by that company as investment and voting control over such securities rests with the board of directors of Buckingham Securities Limited.
