On September 29, 2011, the Issuer and Patrick Fagen entered into a debt settlement and subscription agreement wherein Mr. Fagen agreed to subscribe for 237,500 shares of common stock of the Issuer at a purchase price of $0.04 per share, or $9,500, exercisable on demand.
