These shares of vested restricted stock were sold by Mr. Dominicis to The GEO Group, Inc. ("GEO") on September 1, 2011 at a price per share of $21.23, which was the closing trading price of GEO common stock on that date. GEO repurchased the shares pursuant to its recently announced $100 million stock buyback program. A portion of the proceeds from this sale were used to pay the taxes associated with the September 1, 2011 vesting of 1,500 shares of restricted stock.
