Shares purchased in a private transaction pursuant to a stock purchase agreement dated September 12, 2024. The closing of the transaction was subject to certain customary conditions to closing, including the expiration or earlier termination of the applicable waiting periodunder the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended. The closing conditions were satisfied, and the transaction closed, on October 18, 2024.
RA Capital Management, L.P. (the "Adviser") is the investment manager for RA Capital Healthcare Fund, L.P. (the "Fund") and RA Capital Nexus Fund II, L.P. (the "Nexus Fund II"). The general partner of the Adviser is RA Capital Management GP, LLC (the "Adviser GP"), of which Dr. Peter Kolchinsky and Mr. Rajeev Shah are the managing members.
