These shares were acquired in a private placement transaction pursuant to the terms of that certain Securities Purchase Agreement, dated as of April 18, 2024, between the Issuer and Mountaineer Biosciences, Inc. ("Mountaineer") at a purchase price of $3.13 per share.
These shares are beneficially owned by Mountaineer. The Reporting Person is the Co-Founder of Mountaineer and, as such, has the power to vote and dispose of the ordinary shares held by Mountaineer. The Reporting Person disclaims beneficial ownership in these securities except to the extent of his pecuniary interest therein.
