("Griffin Ventures") sold an aggregate of 28,000 shares (the "Shares") of common stock, par value $0.001 per share (the "Common Stock") of the Issuer for the aggregate sum of $100,000, or $3.5714 per share of Common Stock, pursuant to the terms of a stock purchase agreement.
Represents the aggregate shares of Common Stock owned beneficially by Amir Heshmatpour, which includes 2,372,250 shares of Common Stock owned of record by AFH Holding and Advisory LLC ("AFH Holding") and 272,000 shares of Common Stock owned of record by Griffin Ventures.
