In January 2011, the Reporting Person received a distribution of 2,125 shares of Common Stock from the Company's Deferred Compensation Trust in a transaction exempt from reporting under Rule 16a-13. As a result, the Reporting Person's direct benefical ownership of Common Stock reported herein have been increased and his indirect holdings by the Deferred Compensation Trust have been reduced by 2,125 shares.
