The shares were sold by The Pop Pop Trust to J&L Triple B Ranch, LLLP ("J&L"). The general partner of J&L is Shibumi Services, LLC ("Shibumi"), of which the Reporting Person is the sole manager. The transaction was effected as part of an asset reallocation among entities controlled by the Reporting Person. Accordingly, although the transaction results in a change in the entity through which the Reporting Person reports indirect ownership of the shares sold, the transaction being reported does not result in any change to the aggregate number of shares of Class A Common Stock reported as owned by the Reporting Person, which continues to be 343,799.
