Shares reported herein represent shares beneficially owned by two private investment funds for which Weiss Asset Management LP serves as investment manager. WAM GP LLC is the general partner of Weiss Asset Management LP and Andrew Weiss is the Managing Member of WAM GP LLC. All of Weiss Asset Management LP, WAM GP LLC, and Andrew Weiss disclaim beneficial ownership of the shares reported herein except to the extent of their pecuniary interest therein.
As specifically noted in Form 4 filed on May 27, 2011 ("Form 4"), the share amounts reported therein were estimated based on the Issuer's public announcement on May 26, 2011. The Reporting Persons noted in Form 4 that the final numbers might be different than the estimate. On June 1, 2011, the Issuer announced the final results of its tender offer, and the shares reported in this Form 4A have been adjusted accordingly.
