This Form 4 reflects the acquisition by Alpha Wave Ventures, LP ("Alpha Wave") of 2,400,000 of the issuer's Class A ordinary shares, par value $0.0001 per share, underlying units purchased by Alpha Wave in the Issuer's initial public offering. As described in the issuer's registration statement on Form S-1 (File No. 333-253264) under the heading "Description of Securities -- Units", each unit has an offering price of $10.00 and consists of one Class A ordinary share and one-fourth of one redeemable warrant. Each whole warrant entitles the holder thereof to purchase one Class A ordinary share at a price of $11.50 per share, subject to adjustment as described in the issuer's registration statement.
Alpha Wave is an investment entity managed by Falcon Edge Capital, LP ("Falcon Edge"). Mr. Gerson is the Chairman and Chief Investment Officer of Falcon Edge.
