On December 30, 2019, the Reporting Person was granted a number of performance-vesting restricted stock shares, with the payout ranging from 0 to 200% of target based on the Company's 2020 Adjusted EBITDA achievement ("performance criteria"). Following certification by the Compensation Committee of the Issuer of the applicable payout, the Reporting Person vested 223,112 (1/2 on March 9, 2021 and 1/2 on March 10, 2021) of the shares, and because the performance criteria has been satisfied, an additional 97,170 shares (out of the total shares reported above) will vest in quarterly installments over the following 2 years provided the reporting person remains an employee of the Company through such dates.
