The reported shares are included within the 1,035,000 private placement SCALE units of the issuer purchased by NightDragon Acquisition Sponsor, LLC (the "Sponsor") for $10.00 per private placement SCALE unit. The private placement SCALE units were purchased in a private placement that closed simultaneously with the closing of the issuer's initial public offering, and each such unit consists of one share of Class A common stock of the issuer and one-fifth of one redeemable warrant of the issuer. Each whole warrant entitles the holder thereof to purchase one share of Class A common stock at a price of $11.50 per share.
NightDragon Acquisition Sponsor, LLC is controlled by the reporting person.
