As described in the issuer's registration statement on Form S-1 (File No. 333-251556) under the heading "Description of Securities -- Units", each unit has an offering price of $10.00 and consists of one Class A ordinary share and one-third of one redeemable warrant. Each whole warrant entitles the holder thereof to purchase one Class A ordinary share at a price of $11.50 per share, subject to adjustment as described in the issuer's registration statement.
