Each unit consists of one of the Issuer's Class A ordinary shares and one-half of one redeemable warrant, as described under the heading "Description of Securities - Units - Private Placement Units" in the Issuer's registration statement on Form S-1 (File No. 333-251964).The reporting person is the sole director of Ithaca Capital Partners 6 LLC, a managing member of Sponsor. As such, the reporting person has voting and investment discretion with respect to the units held of record by Sponsor and may be deemed to have shared beneficial ownership of the units held directly by Sponsor and disclaims any beneficial ownership of the reported units other than to the extent of any pecuniary interest he may have therein, directly or indirectly.
