Reflects shares of the Issuer's Class A common stock, par value $0.0001 per share ("Class A Shares") acquired by Morris Bailey for his personal account. These Class A Shares were acquired by Mr. Bailey directly through the Issuer's IPO, in the form of 1,000,000 Units. Each Unit consists of one Class A Share and one-half of one redeemable warrant, each whole warrant entitling the holder thereof to purchase one Class A Share at a price of $11.50 per share, subject to adjustment. The warrants included in the Units will become exercisable on the later of 30 days after the completion of the Issuer's initial business combination and 12 months from the closing of the Issuer's IPO.
