Shares (the "Shares") owned directly by Novelty Capital Series Fund LP, a Delaware limited partnership ("NCSLP"), of which Novelty Capital Series GP, LLC, a Delaware limited liability company ("SGPLLC"), is the general partner and Novelty Capital Partners LP, a Delaware limited partnership ("NCPLP"), of which Novelty Capital Partners GP, LLC, a Delware limited liability company ("GPLLC"). Novelty Capital, LLC, a Delaware limited liability company ("Novelty Capital"), is the sole member of SGPLLC and GPLLC and acts as investment advisor to NCSLP and NCPLP.
