James Hahn owns 50% of the interests of Alpine Venture Associates, LLC and James Hahn is also the president of Alpine Venture Associates, LLC. Therefore, the shares held by Alpine Venture Associates, LLC shall be deemed as beneficially owned by James Hahn.
On January 30, 2011, the Issuer entered into an agreement with Alpine Venture Associates, LLC to terminate certain Consulting Agreement, dated September 1, 2008. Pursuant to such agreement, the Issuer issued 1,000,000 shares of common stock, par value $0.001, to Alpine Venture Associates, LLC in consideration of all unpaid amount of $314,279.24 owed to Alpine Venture Associates, LLC.
