These securities were issued pursuant to a securities purchase agreement, dated September 27, 2019, between the issuer and certain investors, including the reporting person (the "Purchase Agreement"). Pursuant to the Purchase Agreement, the reporting person purchased units consisting of 400,000 shares of common stock and a warrant to purchase 200,000 shares of common stock with an exercise price of $3.25 per share.
