This transaction involved the gift of shares by the reporting person to various trusts for his children from the Stang Family 2014 Grantor Retained Annuity Trust (the "GRAT"). The reporting person is not the trustee of any of his children's trusts. The reporting person disclaims beneficial ownership of the shares held in his children's trusts and this report should not be deemed an admission that the reporting person is the beneficial owner of his children's shares.
Following the transfer described in footnote 1 above, there are no shares remaining in the GRAT, of which the reporting person was the trustee.
