  2. Sankaty Champion Holdings, LLC ("SCH") was the record owner of these shares of Common Stock.
  3. Sankaty Credit Opportunities IV, L.P. ("SCO IV") was the record owner of these shares of Common Stock.
  4. Bain Capital Credit Member, LLC ("BCCM") is the manager of SCH and, by virtue of its relationship to SCH, may be deemed to have indirectly beneficially owned (within the meaning of Rule 13d-3 under the Securities Exchange Act of 1934, as amended (the "Act")) the shares of Common Stock of which SCH was the record owner. BCCM disclaims beneficial ownership of the shares of Common Stock of which SCH was the record owner, except to the extent of its pecuniary interest therein.
  5. Sankaty Credit Opportunities Investors IV, LLC ("SCOI IV") is the sole general partner of SCO IV and may be deemed to have indirectly beneficially owned (within the meaning of Rule 13d-3 under the Act) the shares of Common Stock of which SCO IV was the record owner. BCCM is the managing member of SCOI IV and may be deemed to have indirectly beneficially owned (within the meaning of Rule 13d-3 under the Act) the shares of Common Stock which SCOI IV may be deemed to have indirectly beneficially owned. Each of BCCM and SCOI IV disclaims beneficial ownership of the shares of which SCO IV was the record owner, except to the extent of their respective pecuniary interest therein.
  6. Each of BCCM, SCH, SCO IV and SCOI IV may be deemed to have been a member of a "group" (within the meaning of Rule 13d-5 under the Act) whose members in the aggregate beneficially owned more than 10% of the outstanding shares of the Issuer's Common Stock. However, none of BCCM, SCH, SCO IV or SCOI IV today beneficially own any shares of Skyline Champion Corporation's Common Stock, and each of BCCM, SCH, SCO IV and SCOI IV disclaim membership in any such group.
