On February 13, 2019, the Board of Directors of the Issuer, upon the recommendation of the Compensation Committee of the Board of Directors, determined these performance shares would be earned, effective on March 1, 2019. These shares, which were granted in March 2018, are expected to vest in two equal increments on each of March 1, 2020 and March 1, 2021, subject to the grant agreement between the Issuer and the Reporting Person.
Pursuant to a request from the reporting person, the Company withheld 10,761 shares to satisfy a tax withholding obligation in connection with stock awards on which the restrictions had lapsed.
