The entire award vests on May 15, 2014, subject in all instances to the reporting person's continuous employment or consulting status with the company.

This sale was originally incorrectly reported as direct ownership. These shares are held by Global Link 1 Capital, a charitable remainder unitrust. The reporting person disclaims beneficial ownership of these shares except to the extent of his pecuniary interest therein. The inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 of the Securities Exchange Act of 1934 or for any other purpose.
The amount of securities benefically owned following the reported transaction was incorrectly reported as 508,480 shares in the original filing. The correct balance is 509,920 shares.
