The Reporting Person tendered 960 shares of Issuer common stock in an exchange offer commenced by the Issuer on August 28, 2018. For each share of Issuer common stock tendered and accepted by the Issuer in the exchange offer, the Issuer exchanged 2.2117 shares of common stock of Stevens Holding Company, Inc. ("Newco"). On October 1, 2018, the Issuer announced a final proration factor of 11.6114% for the exchange offer, resulting in the acceptance of 111 shares out of the 960 shares of Issuer common stock tendered by the Reporting Person in the exchange offer. In connection with the previously announced merger of a wholly owned subsidiary of Altra Industrial Motion Corp. ("Altra") with Newco, each share of Newco common stock received by the Reporting Person in the exchange offer converted automatically into one share of Altra common stock. The closing price of Altra common stock on October 1, 2018 was $41.59.
