Mosing Holdings, LLC made a distribution of shares of Frank's International N.V.'s common stock, par value Euro 0.01 per share (the "Common Stock") to certain of its members, including William Bradford Mosing.
WBM Partnership, LP ("WBM") directly owns 8,353,867 shares of Common Stock. WBM is controlled by Mr. Mosing, in his capacity as managing member of WBM's general partner. Mr. Mosing disclaims beneficial ownership of the Common Stock owned by WBM, except to the extent of his pecuniary interest therein.
As a result of the Voting Agreement, dated July 22, 2013, by and among Ginsoma Family C.V., FWW B.V., Mosing Holdings, LLC and the other parties thereto, Mr. Mosing may be deemed to beneficially own shares of Common Stock owned by Mosing Holdings, LLC. Mr. Mosing disclaims beneficial ownership of the Common Stock owned by Mosing Holdings, Inc., except to the extent of his pecuniary interest therein.
On November 20, 2017, Mr. Mosing sold 51,677 shares of Common Stock on the New York Stock Exchange in open market sales, at prices ranging from $6.45 to $6.525 per share, with a weighted-average per-share price of $6.4615.
On November 21, 2017, Mr. Mosing sold 219,500 shares of Common Stock on the New York Stock Exchange in open market sales, at prices ranging from $6.40 to $6.505 per share, with a weighted-average per-share price of $6.4627.
