These shares were purchased from SMM SPV I, LLC ("SMM SPV") pursuant to an agreement between SMM SPV and Samsara BioCapital, L.P. ("Samsara BioCapital"), to acquire such shares at the price paid for such shares by SMM SPV on October 3, 2016. The Reporting Person is the sole member and manager of Samsara BioCapital, LLC, the manager of SMM SPV, and had sole voting and dispositive power over the shares held by SMM SPV. The Reporting Person previously reported beneficial ownership of such shares indirectly through SMM SPV, disclaiming beneficial ownership of these shares except to the extent of his pecuniary interest therein.
For purposes of Section 16, the purchase of these shares by Samsara BioCapital from SMM SPV constituted (i) a change in the form of ownership of the shares previously beneficially owned by the Reporting Person through SMM SPV from one form of indirect ownership to another; and (ii) with respect to the remaining shares acquired from SMM SPV, a purchase by the Reporting Person, in each case to the extent of his pecuniary interest in Samsara BioCapital. Following this transaction, SMM SPV no longer holds any securities of the Issuer.
Shares held by Samsara BioCapital. The reporting person is a managing member of Samsara BioCapital GP, LLC, the general partner of Samsara BioCapital. The Reporting Person disclaims beneficial ownership of these shares except to the extent of the Reporting Person's pecuniary interest therein.
