Pursuant to the Agreement and Plan of Merger (the "Merger Agreement"), dated as of August 31, 2016, as amended on November 21, 2016, by and among Transocean Ltd. ("Transocean"), Transocean Partners Holdings Limited ("TPHL"), TPHL Holdings, LLC, a wholly owned subsidiary of TPHL ("Merger Sub"), and Transocean Partners LLC ("Transocean Partners"), Transocean Partners merged with Merger Sub (the "Merger), with Transocean Partners surviving the Merger as a wholly owned subsidiary of TPHL. Upon the December 9, 2016 closing of the Merger, TPHL delivered to the Transocean Partners common unitholders 1.2000 Transocean shares for each issued and outstanding Transocean Partners common unit not owned by TPHL. All of Transocean Partners' common units not owned by TPHL were cancelled in the Merger. As a result of the Merger, TPHL became the sole owner of Transocean Partners.
