As a result of the Voting Agreement, dated July 22, 2013, by and among Ginsoma Family C.V., FWW B.V., Mosing Holdings, Inc. and the other parties thereto (the "Voting Agreement"), Donald E. Mosing may be deemed to share beneficial ownership of 119,024,000 shares (representing more than 10% of the outstanding shares) of Frank's International N.V.'s common stock, par value Euro 0.01 per share (the "Common Stock") held by certain members of the Mosing family and their holding companies. Mr. Mosing disclaims beneficial ownership of the Common Stock except to the extent of his pecuniary interest therein.
