On April 1, 2016, Gulf TLP Holdings, LLC ("Gulf") acquired beneficial ownership of 800,000 common units representing limited partner interests in the Issuer ("Common Units") and TLP Equity Holdings, LLC ("TLPEH") acquired beneficial ownership of 2,366,704 Common Units. ArcLight Capital Holdings, LLC ("ArcLight Holdings") is the manager of the general partner of ArcLight Energy Partners Fund VI, L.P. ("Fund VI"), which indirectly wholly owns TLPEH and indirectly controls Gulf. The Reporting Person is the manager of the general partner of the limited partnership that is the manager of ArcLight Holdings and, as a result, may be deemed to indirectly beneficially own the securities of the Issuer held by Gulf and TLPEH. The Reporting Person disclaims beneficial ownership of the securities owned by Gulf and TLPEH except to the extent of his pecuniary interest therein.
