Bristol Investment is managed by Bristol Capital Advisors LLC, a Delaware limited liability company ("BCA"). Paul Kessler, as manager of BCA, has voting and dispositive power over the shares beneficially owned by Bristol Investment. Bristol Investment owns a total of 1,525,472 shares of the Company's common stock.
These shares were acquired by Bristol Capital, LLC, a Delaware limited liability company ("BC"), pursuant to an Amendment to Consulting Agreement, for services rendered by BC to the Issuer.
