Zhong Hui Holding Limited ("ZHHL") acquired an aggregate of 268, 126 shares ("Shares") of common stock of the issuer at the purchase price of $0.017 per share from Tim Richerson and Peter Nathanial, directors and officers of the Issuer, pursuant to certain Securities Assignment Agreement dated January 15, 2016. The Shares were previously sold by ZHHL to Mr. Richerson and Mr. Nathanial at the same purchase price in June 2015.
Qi Zhang, the Chairman of the Issuer, is the sole owner of ZHHL, may be deemed the beneficial owner of the securities held by ZHHL and has sole voting and dispositive control over such securities.
