On December 8, 2015, Data Center Investments Holdco LLC, a subsidiary of Cincinnati Bell Inc. (the "Selling Stockholder"), CyrusOne Inc., CyrusOne GP and CyrusOne LP entered into an underwriting agreement with Citigroup Global Markets Inc., as underwriter (the "Underwriter"), pursuant to which the Selling Stockholder agreed to sell to the Underwriter 1,350,000 shares of common stock at a price to the Underwriter of $35.295 per share. The price to the public was $35.85 per share.
Following the reported transaction, Data Center Investments Holdco LLC is the record holder of 540,000 shares of common stock of CyrusOne Inc. (the "Shares"). Cincinnati Bell Inc. is the sole stockholder of Cincinnati Bell Technology Solutions Inc., which is the sole stockholder of Data Center Investments Inc., which is the sole member of Data Center Investments Holdco LLC. As a result, Cincinnati Bell Inc. exercises investment discretion and control over the Shares.
