The Issuer issued the Reporting Person "Units," with each "Unit" comprised of one share of common stock, together with a warrant to acquire an additional one-half share of Issuer common stock on payment of $0.20 per share, in consideration of extinguishment of $120,000 in debt owing by the Issuer to the Reporting Person.
The number of non-derivative securities beneficially owned includes (i) 750,000 non-derivative securities owned directly by the Reporting Person, and (ii) 472,288 non-derivative securities that the Reporting Person owns indirectly through Smed Capital Corp.
The shares were transferred to the Reporting Person pursuant to that certain Share Transfer Agreement by and among the Reporting Person, Darren Katic and Charles Moore III, dated December 12, 2014, as compensation for services provided to the Issuer.
