Bain Capital Investors, LLC ("BCI") is the general partner of Bain Capital Integral Investors 2008, L.P. ("BCII 2008"). By virtue of this relationship, BCI may be deemed to share voting and dispositive power with respect to the shares of Common Stock held by BCII 2008. On November 10, 2014, BCII 2008 sold 3,763,656 shares of Common Stock. Following such sale, Integral 2008 held 15,589,253 shares of Common Stock.
BCI is also the administrative member of BCIP TCV, LLC ("BCIP TCV"). By virtue of this relationship, BCI may be deemed to share voting and dispositive power with respect to the shares of Common Stock held by BCIP TCV. On November 10, 2014, BCIP TCV sold 9,679 shares of Common Stock. Following such sale, BCIP TCV held 38,344 shares of Common Stock.
