On September 11, 2014, the Issuer entered into an underwriting agreement (the "Underwriting Agreement") with William Blair & Company, L.L.C., as representative of the several underwriters named therein (collectively, the 'Underwriters"), and the Reporting Person, in connection with a registered underwritten public offering of the Issuer's common stock by the Reporting Person (the "Offering"). Subject to the terms and conditions of the Underwriting Agreement and in connection with the Offering, on September 17, 2014, the Reporting Person sold to the Underwriters, and the Underwriters purchased from the Reporting Person, an aggregate of 3,594,518 shares of Common Stock.
