Mr. Mollo indirectly beneficially owns 100% of the ownership interests of TM-07 Investments, LLC ("TM-07"). TM-07 acquired these shares of common stock of the Issuer ("Common Stock") in a transaction which closed on July 15, 2014 pursuant to a Securities Purchase Agreement by and between TM-07 and the Issuer (the "TM-07 SPA").
Mr. Mollo serves as trustee of CRM-008 Trust ("CRM-008"). CRM-008 acquired shares of Common Stock in a transaction which closed on July 15, 2014 pursuant to a Securities Purchase Agreement by and between CRM-008 and the Issuer (the "CRM SPA").
TM-07, which is also reporting its ownership on this Form 4, does not beneficially own the non-derivative and derivative securities owned by CRM-008 and, as such, beneficially owns only 9,983,175 shares of Common Stock and the number of derivative securities it is reported as owning on this Form 4 and any previously filed Section 16 forms.
