Pursuant to an agreement between Mr. Goepel and the Board of Directors of Asure Software, Inc., Mr. Goepel will forfeit options on a 1:1 basis, up to 40,000, for shares purchased on the open market.
Such options shall vest over a 4 year period following issuance such that 25% of the shares shall vest on 9/15/2010 and an additional 6.25% shall vest each 3 months thereafter.
