In connection with the completion of the Issuer's initial public offering of Common Stock, each share of Series B Convertible Preferred Stock, Series D-1 Convertible Preferred Stock, Series D-2 Convertible Preferred Stock and Series E Convertible Preferred Stock automatically converted into Common Stock on a 1-for-11.5 basis.
The securities do not have an expiration date. Each share of Series B, Series D-1, Series D-2 and Series E Convertible Preferred Stock converted automatically into shares of Common Stock in connection with the closing of the Issuer's initial public offering on March 26, 2014. Prior to such conversion into the Issuer's Common Stock, the Series B, Series D-1, Series D-2 and Series E Convertible Preferred Stock was convertible at any time at the option of the holder.
The securities are owned directly by Sofinnova Venture Partners VIII, L.P. ("SVP VIII"). Sofinnova Management VIII, L.L.C. ("SM VIII"), the general partner of SVP VIII, and Srinivas Akkaraju, a director of the Issuer, James I. Healy, Anand Mehra, and Michael Powell, the managing members of SM VIII, may be deemed to have shared voting and dispositive power over the shares owned by SVP VIII. Such persons and entities disclaim beneficial ownership over the shares owned by SVP VIII except to the extent of any pecuniary interest therein.
