Each restricted stock unit represents a contingent right to receive one share of common stock, par value $0.01 per share (the "Common Stock"), of Diamondback Energy, Inc. (the "Issuer") and was granted under the Issuer's 2012 Equity Incentive Plan.
Of the remaining 13,131 restricted stock units, 8,571 restricted stock units will vest in two approximately equal annual installments beginning on November 18, 2014, and 4,560 restricted stock units will vest in two equal annual installments beginning on January 2, 2015.
