On December 29, 2010, the reporting person contributed 300,000 shares of issuer's common stock to a grantor retained annuity trust for the benefit of himself. The annuity trust terminated and on February 14, 2014, a total of 138,732 shares were transferred to two trusts for the benefit of the reporting person's children and are reported in this Form 4 as indirectly owned. The remaining 49,982 shares were transferred to the reporting person and are reported in this Form 4 as directly owned.
