This award of restricted stock units originally vested in two equal installments on the third and fourth anniversaries of the date of grant, February 17, 2011. As a result of the Reporting Person's retirement from Time Warner Cable Inc. on December 31, 2013, the distribution of the second installment has been accelerated to June 30, 2014. Shares of Common Stock are issued to the Reporting Person upon vesting of the restricted stock units.
These restricted stock units may have different vesting and distribution dates. Fractional restricted stock units are paid in cash upon vesting.
This option, originally exercisable in increments of 25% on the first four anniversaries of the date of grant, February 12, 2010, became fully exercisable on December 31, 2013, the date the Reporting Person retired from Time Warner Cable Inc.
