On July 6, 2010, pursuant to an underwriting agreement entered into on June 24, 2010 among Fabrinet, certain selling shareholders and the underwriters named therein, Asia Pacific Growth Fund III, L.P. sold 535,006 ordinary shares in connection with the exercise in full of the underwriters' over-allotment option.
Represents public offering price of $10.00 per ordinary share less the underwriting discounts and commissions of $0.70 per ordinary share.
Consists of (i) 15,297,694 shares held by Asia Pacific Growth Fund III, L.P. and (ii) 30,000 shares held by H&Q Asia Pacific, Ltd. The Reporting Person is chairman of H&Q Asia Pacific, Ltd. and a member of the investment committee of the general partner of Asia Pacific Growth Fund III, L.P.
